Restructuring & Insolvency

  • Acted for National Arts Entertainment and Culture Group Ltd (HKEX: 8228) in a debt restructuring, involving a contentious scheme of arrangement application. Coordinated with the company’s Bermuda counsel in making a parallel scheme of arrangement application in Bermuda.  Defended the company’s creditors’ claims in Hong Kong.  Made an urgent application for injunction to restrain a creditor from filing a winding up petition on the ground of abuse of process.   • Acted for Trinity Group (including Trinity Limited (HKEX: 891), Trinity (Management) Services Limited, Trinity International Brands Limited) in a debt restructuring, including an application for a soft-touch provisional liquidation and an intended parallel scheme of arrangement. Coordinated with the company’s Bermuda counsel in resisting a winding up petition in Bermuda.  Liaised with the company’s creditors and defended their claims against the group’s subsidiaries in Hong Kong and China.  Represented the group in liaising with the bank group for alternative financial arrangements (including a standstill agreement).   • Acted for PricewaterhouseCoopers Limited as property receivers in handling the tender and disposal of the mortgaged properties. Made an application for injunction against the mortgagor and resisting the legal actions commenced by the mortgagor in challenging the validity of the appointment of receivers.   • Acted for Ernst & Young Limited and RSM Corporate Advisory (Hong Kong) Limited in making an application to recognise their appointment by the Supreme Court of Bermuda as the joint and several provisional liquidators (for restructuring purposes) of National Arts Entertainment and Culture Group Ltd. (HCMP 1176/2019)
  • Acted for Pacific Aegis Capital Management Group in debt recovery actions and enforcement actions, including winding-up proceedings, bankruptcy proceedings, receivership and enforcement of securities. (HCA 1011/2022, HCCW 567/2023)
  • Acted for AllBright Law Offices, King & Wood Mallesons, and Fangda Partners, the joint administrators of CEFC China Energy (a group of PRC companies belonging to an energy conglomerate) against the liquidators of the group’s subsidiary in Hong Kong in the liquidation process.
  • Acted for Hua Nan Securities Group in a voluntary winding up, involving an ex parte application for payment-in into Court. (HCMP 2023/2022)

Commercial Litigation

  • Acted for European TopSoho S.a.r.l. (a former majority shareholder of SMCP S.A., a company listed on Euronext Paris) to coordinate with the company’s offshore counsel to defend legal actions commenced by trustees, bondholders and security holders in various jurisdictions, including England, Luxembourg, France, Singapore, and the BVI.
  • Acted for Ruyi Group, a Chinese conglomerate (including Shandong Ruyi Technology Group Company Limited, Beijing Ruyi Fashion Investment Holding Company Limited, Ruyi International Textile Development Limited, Ruyi Textile and Fashion International Group Limited, Ruyi Brand Holdings (Hongkong) Company Limited, Forever Winner International Development Limited), in handling legal proceedings and resisting enforcement actions taken out by trustees, creditors and securities holders in various jurisdictions, including Delaware, the Netherlands and Hong Kong.   • Acted for Bank of China (Hong Kong) Limited against the directors of CW Group Holdings Limited (HKEX: 1322) for breach of personal guarantee. Advised on enforcement actions against the directors. (HCA 2047/2018)
  • Acted for Industrial Bank , Ltd against Hong Kong Airlines Aviation Training Centre Limited in an enforcement action over the security interests over a mortgaged property. (HCMP 585/2021)
  • Acted for a special purpose vehicle of China Tian Yuan Finance Group in obtaining summary judgment against the principal borrower and the guarantors. Successfully obtained the bankruptcy orders against the individual guarantors. (HCA 821/2018, HCB 4481/2020, HCB 4595/2020, HCB 4596/2020, HCB 5539/2020)
  • Acted for the majority shareholder of China People (Hong Kong) Limited in a dispute with the minority shareholder of the company, which consists of an unfair prejudice petition, an application for a buy-out order and multiple applications to rectify the company’s records on the Companies Registry. International Arbitration

  • Acted for a corporate entity in an arbitration at the HKIAC against a company and various obligors in a dispute concerning breach of an agreement and other ancillary documents. Coordinated with the client’s offshore counsel in an application for assets preservation.
  • Acted for an individual in resisting the enforcement of an arbitral award, including but not limited to a court application for setting aside the recognition of the arbitral award and resisting the appointment of equitable receivers.
  • Acted for two international companies and their respective individual shareholders in an arbitration at the SHIAC against another company in a dispute concerning various inter-related agreements and contracts. Conducted advocacy on behalf of clients during trial.
  • Acted for a contractor in an arbitration at the HKIAC against a joint venture partner for breach of the joint venture agreement.
  • Acted for a company in an arbitration at the HKIAC against another company in a dispute concerning international trade.
  • Acted for a contractor in an arbitration at the HKICA against a contractor in a dispute concerning a government contract. Resisted the opponent’s application to set aside the arbitral award taken out in court and successfully struck out the same.
