In addition to capital market-related services, our transactional practice includes mergers and acquisitions and matters related to private equity, venture capital, banking and finance. We represent investment banks, private equity funds, sovereign wealth funds, institutional investors, strategic investors, portfolio companies, management teams, start-up companies and state owned government organisations, advising on the full spectrum of international corporate transactions. Our team helps manage legal and regulatory concerns on all aspects of corporate activities from the preliminary structuring of a transaction right up to its successful closing. In particular, we have abundant experience in assisting clients manoeuvre through each stage of the acquisition of licensed corporations permitted to carry out regulated activities by the Securities and Futures Commission, including conducting due diligence, drafting share purchase agreements and other transaction documents, preparing substantial shareholder applications, answering the SFC’s post-transfer queries and attending to our clients’ corporate restructuring needs.

  • Acting for a major Chinese state-owned conglomerate in relation to a potential investment in a gold and silver mine operator in Uzbekistan which involved equity subscription, convertible loan notes, loans and warrants.
  • Acting for one of the leading freight forwarding and logistics companies in Hong Kong (belonging to a group listed on the Hong Kong Stock Exchange) on its acquisition of companies and assets as well as its establishment of joint ventures in Hong Kong and other regions in Asia.
  • Negotiating very substantial transactions for various clients as part of the ‘One Belt, One Road’ initiative.
  • Acting for the purchasers in the acquisition of licensed corporations (types 1, 4, 6 & 9 regulated activities) for the expansion of their corporate group, principally engaged in the provision of financial services, in Hong Kong.
